Applications in Relation to Dissolved Statutory Corporations

The Province has enacted the following statutes that dissolve three statutory corporations and transfer and vest the dissolved corporations’ property in the government or another specified corporate entity:

  1. Public Agency Accommodation Act, S.B.C. 2006, c. 7—dissolves the British Columbia Buildings Corporation
  2. Budget Measures Implementation Act, 2010, S.B.C. 2010, c. 2—dissolves the Homeowner Protection Office
  3. Provincial Capital Commission Dissolution Act, S.B.C. 2014, c. 1—dissolves the Provincial Capital Commission.

The three statutes are equivalent with respect to their effects and the processes they establish for subsequent dealings in titles and interests by the government or other corporate entity specified in the legislation. In particular, each statute provides that the new owner of the property may, in its own name, effect a transfer and execute any record in its own name and that the registrar must give the record the same effect as if it had been executed by the former owner (i.e., either “British Columbia Buildings Corporation”, “Homeowner Protection Office”, or “Provincial Capital Commission”, as the case may be).

In order to ensure that land title records are clear and that future users are made aware of the reason for the non-standard treatment of the name of the transferor, all applications filed in accordance with these statutes must state “Pursuant to the [name of applicable statute]” in either Item 1 of the form or after the name of the transferor.

An application to update the name on title from the dissolved corporate entity (i.e., “British Columbia Buildings Corporation”, “Homeowner Protection Office”, or “Provincial Capital Commission”, as the case may be) to either the government or other corporate entity specified in the legislation must be made by application for Change of Name using either an electronic Form 17 Fee Simple or, where the change of name is for a charge, the Form 17 Charge, Notation or Filing.
